TENTS MARKET SELLER AGREEMENT
This Seller Agreement (“Agreement”) is an electronic record in terms of the Information Technology Act, 2000 and rules made thereunder. This electronic record is generated by a computer system and does not require any physical or digital signatures.
By clicking "I Accept", registering on the platform, or otherwise accessing the seller portal, you (the "Seller") agree to be legally bound by the terms and conditions set forth below.
This Agreement is entered into BETWEEN:
Tents Market, operated by SOMASKANDA TENTS, having its registered office at 18-9-79/TF401 REVENUE WARD NO. 18, BANDA VARI STREET, Paparajuthota, Chirala, Andhra Pradesh, 523155 (hereinafter referred to as the “Platform”)
AND
The individual or business entity completing the registration process on the Platform (hereinafter referred to as the “Seller”).
1. NATURE OF RELATIONSHIP
- The Platform acts strictly as an online marketplace intermediary that connects buyers and independent sellers.
- The Seller is an independent entity and not an employee, agent, or partner of the Platform.
- The Platform does not own, control, or sell products directly, unless explicitly stated otherwise.
2. SELLER ONBOARDING & KYC
- Upon registration, the Seller must provide valid KYC documents via the seller portal, including PAN, bank details, and GSTIN.
- The Platform reserves the right to verify and approve Seller accounts before activation.
- Providing any false or misleading information may lead to immediate account termination.
3. SELLER OBLIGATIONS
The Seller agrees to:
- Provide accurate product descriptions, pricing, and images.
- Ensure all products are genuine, lawful, and not counterfeit.
- Comply with all applicable Indian laws, including tax regulations.
- Fulfill orders within committed timelines.
- Maintain high quality standards and ensure customer satisfaction.
4. COMMISSION, FEES & PAYMENTS
- Commission: The Platform shall charge a commission of 10% per successful transaction.
- Taxes on Fees: Applicable GST (18%) shall be charged on all commission fees.
- Settlement: Payments shall be settled on a T+5 basis after delivery and the completion of the customer return window.
- Platform Rights: The Platform reserves the right to deduct commissions, returns, penalties, or dispute-related fees from payouts, and to hold payments in the event of suspected fraud, customer complaints, or pending verification.
5. TAXATION & INVOICING
- Seller Responsibilities: The Seller is solely responsible for GST compliance, filing returns, and issuing valid tax invoices directly to customers.
- TCS Deduction: The Platform may deduct TCS (Tax Collected at Source) as per applicable Indian law prior to settling payouts.
6. SHIPPING & DELIVERY
- The Seller is responsible for packaging, dispatching, and ensuring the timely delivery of goods.
- The Seller shall ensure safe, secure packaging to avoid in-transit damage.
- Delivery timelines committed to on the Platform must be strictly honored.
7. RETURNS, REFUNDS & DISPUTES
- The Seller agrees to fully comply with the Platform’s Refund & Cancellation Policy.
- The Seller takes full responsibility for defective, damaged, or incorrect products shipped to buyers.
- Refund amounts for returned orders shall be adjusted against Seller payouts.
- The Platform reserves the right to make the final decision in any buyer-seller disputes.
8. PROHIBITED PRODUCTS
The Seller shall not list or sell:
- Illegal or restricted products.
- Counterfeit or infringing goods.
- Products violating any third-party intellectual property rights.
- Any goods prohibited for sale under Indian law.
9. DATA PROTECTION & PRIVACY
- The Seller shall use customer data strictly for order fulfillment purposes only.
- The Seller shall not store, share, sell, or misuse customer data for marketing or external purposes.
- The Seller must comply with all applicable data protection and privacy laws.
- Any violation of data privacy may result in immediate legal action and termination of this Agreement.
10. FRAUD & MISCONDUCT
The Platform reserves the right to:
- Suspend or terminate Seller accounts involved in fraudulent activities.
- Cancel suspicious orders at its discretion.
- Withhold financial payouts pending the completion of a fraud investigation.
11. PENALTIES & PERFORMANCE
The Platform may impose financial penalties for delayed shipping, Seller-initiated order cancellations, poor customer experience, or policy violations. Any levied penalties will be automatically adjusted against upcoming Seller payouts.
12. INDEMNITY
The Seller agrees to indemnify, defend, and hold harmless the Platform from and against any claims, disputes, legal proceedings, product liability issues, intellectual property violations, consumer complaints, and any resulting financial loss, penalties, or legal expenses arising from Seller actions.
13. LIMITATION OF LIABILITY
- Disclaimer: The Platform shall not be liable for product quality, safety, legality, delivery delays caused by the Seller, or any indirect or consequential damages.
- Liability Cap: The Platform’s total liability to the Seller shall be strictly limited to the total commission earned from that specific Seller.
14. TERMINATION
- Standard Termination: Either party may terminate this Agreement by providing 7 days’ written notice.
- Immediate Termination: The Platform may terminate this Agreement immediately and without notice in cases of suspected fraud, critical policy violations, or legal risks.
15. CONFIDENTIALITY
The Seller shall not disclose any confidential information related to the Platform’s operations, pricing structures, or user base to any third party. This confidentiality obligation survives the termination of this Agreement.
16. FORCE MAJEURE
The Platform shall not be held liable for any failure or delay in performing its obligations under this Agreement due to events beyond its reasonable control, including but not limited to natural disasters, strikes, acts of government, or severe technical failures.
17. GOVERNING LAW & JURISDICTION
- Governing Law: This Agreement shall be governed by and construed in accordance with the laws of India.
- Jurisdiction: All disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Chirala, Andhra Pradesh.
18. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the Platform and the Seller regarding the subject matter herein and overrides all prior written or oral agreements.
19. DIGITAL ACCEPTANCE
By clicking the "I Accept the Terms and Conditions" checkbox during the registration process, the Seller acknowledges that they have read, understood, and agreed to all terms outlined in this Agreement. This electronic acceptance is legally binding and equivalent to a physical signature.
